M&A transactions
Legal advice, merger control and coordination of regulatory approvals.
Examples of our support.
Transaction planning and execution
We design the transaction structure and timetable with legal, regulatory and antitrust risks in mind. We help plan the necessary stages, conditions and approvals to reduce delay risk and keep the process moving efficiently.
Due diligence
We review the target’s legal position with a focus on risks that can materially affect value, structure or deal certainty. We translate due diligence findings into practical negotiating recommendations and appropriate protections in the transaction documents.
Transaction documents
We draft and negotiate documents that accurately reflect the agreed structure and allocation of risk between the parties. This includes conditions precedent, representations and warranties, liability mechanisms and provisions needed to implement the transaction.
Antitrust aspects and merger control
We assess notification requirements in Poland, before the European Commission and in other jurisdictions, and analyse the transaction’s impact on competition. We prepare and coordinate filings, represent clients in proceedings and work with local counsel on cross-border transactions.
FDI screening and sector-specific approvals
We identify foreign investment screening and sector-specific approval requirements at the planning stage. We support the clearance process and ensure that required approvals are properly reflected in the documents, closing conditions and transaction timetable.
Information exchange and cooperation between the parties
We establish rules for the safe exchange of information between the parties before closing. We design data-access protocols and clean teams and review planned cooperation to reduce the risk of gun jumping and unlawful market coordination.
Closing and integration
We coordinate the satisfaction of closing conditions and the implementation of regulatory and antitrust commitments. We also support post-closing integration planning so that the businesses can combine efficiently while observing the restrictions that apply before completion.
